Shareholders Agreements
Most small to medium sized companies can benefit from a Shareholders Agreement. Although the company’s constitution (Memorandum and Articles of Association) will contain some rules it is best practice to supplement these with a Shareholders Agreement.
This Agreement sets out the basic agreement between the participators as to how the company is going to be run, it restricts the ability of the directors to deal with significant matters without consulting the shareholders and it usually provides a set of rules regarding how and to whom shares should be sold or where they should go on death.
